This AGREEMENT is made on the day of acceptance between you (hereinafter referred to as "the Recipient") and Oki Systems (Ireland) Limited, The Square Industrial Complex, Tallaght, Dublin 24, a company organised under the Laws of Ireland (hereinafter referred to as "the Owner")

1.0 In this Agreement "INFORMATION" means any and all information whatsoever of the party in question including without limitation business, technical and financial information and whether written, oral, photographs, drawings, data, software programs, designs, specification, formulae, processes, know-how and samples.

2.0 By acceptance of this agreement each party hereto undertakes to the other:

2.1 to maintain confidential all INFORMATION relating to the other party ("the Owner") which may be disclosed to the party ("the Recipient") or obtained or received by it as a result of or in connection with the NEGOTIATIONS

2.2 to use the Owner's INFORMATION only for the purpose of the NEGOTIATIONS and in accordance with this Agreement; and

2.3 not to disclose directly or indirectly any of the Owner's INFORMATION in whole or in part save in accordance with this Agreement

3.0 To secure the confidentiality attaching to the Owner's INFORMATION the Recipient shall

3.1 keep separate all INFORMATION of the Owner from all documents and other records of the Recipient

3.2 keep all documents and any other material bearing or incorporating any of the INFORMATION of the Owner at the usual place of business of the Recipient

3.3 allow access to the Owner's INFORMATION exclusively to those employees of the Recipient who have reasonable need to see and use it for the purposes of the NEGOTIATIONS and inform each of the said employees of the confidential nature of the Owner's INFORMATION and the obligations of the Recipent in respect thereof

3.4 wherever reasonably practicable obtain a written statement from each of its employees having access to the Owner's INFORMATION undertaking to maintain the same confidentiality and take such steps as may be reasonably desirable to enforce such obligations

3.5 make copies of the Owner's INFORMATION only to the extent that the same are strictly required for the purposes of the NEGOTIATIONS

3.6 on the request of the Owner made at any time deliver up to the Owner all documents and other material in the possession, custody or control of the Recipient that bear or incorporate any part of the Owner's INFORMATION

4.0 Each party hereto understands that the obligations of non-disclosure and non-use shall not apply to any of the INFORMATION, which

4.1 is in the public domain at the time of such disclosure

4.2 is published or otherwise becomes part of the public domain through no fault of the party to whom such disclosure was made

4.3 the party to whom such disclosure was made can show by written records was in its possession at the time of such disclosure and was not acquired from the other party, or

4.4 the party, to whom such disclosure was made, can show by written records, is received by it from a third party who is free to disclose the same after the time of such disclosure

5.0 This AGREEMENT shall in all respects be governed by and construed in accordance with the provisions of Irish Law and any dispute ensuing shall be finally settled under the Laws of Ireland

6.0 The parties hereto agree to submit to the jurisdiction of the courts of Ireland.
